Terms of Service
Effective Date: October 1, 2026
Last Updated: October 1, 2026
These Terms of Service ("Terms") govern access to and use of the GovernHOA website, application, communications services, and related services (collectively, the "Services") operated by Logical Host, LLC ("Logical Host," "GovernHOA," "we," "us," or "our"). By creating an account, accessing, or using the Services, you agree to these Terms.
1. GovernHOA Services
GovernHOA is a community governance and management platform used by homeowners associations, condominium associations, community associations, management companies, boards, owners, residents, vendors, and other authorized users. Depending on configuration, the Services may include property and account management, payments, delinquency workflows, violations, architectural requests, elections, meetings, documents, announcements, work orders, reservations, vendor management, ownership changes, accounting integrations, audit logs, communications, and other association administrative functions.
2. Relationship with Your Association
GovernHOA provides technology that associations and management organizations use to administer community operations. Unless expressly stated otherwise, Logical Host, LLC is not the homeowners association, condominium association, property manager, board of directors, management company, or governing body responsible for your property or community. Decisions concerning assessments, rules, violations, architectural approvals, governance, maintenance, and other association matters are generally made by the applicable association or its authorized representatives.
3. Accounts and Security
You are responsible for providing accurate information, maintaining the confidentiality of account credentials, using available security controls appropriately, and promptly reporting suspected unauthorized access. You may not use another person's account without authorization, attempt to bypass access controls, or misrepresent your identity, property, authority, or affiliation.
4. User Content and Association Records
Users and association administrators may submit information, documents, messages, photographs, requests, comments, and other materials through the Services ("User Content"). You retain any rights you have in User Content you submit and grant Logical Host, LLC permission to store, process, transmit, display, reproduce, and otherwise use that content as reasonably necessary to provide, maintain, secure, and support the Services.
5. Payments and Financial Transactions
GovernHOA may allow users to make payments associated with assessments, fees, charges, or other association obligations. Payment processing may be provided through GovernHOA-managed processing or supported customer-managed processors and may involve independent payment processors or financial institutions.
GovernHOA does not determine the validity or amount of assessments, fines, fees, or other obligations established by an association. Users are responsible for reviewing transaction information before submitting payment.
6. SMS/Text Messaging Terms
GovernHOA may provide application-to-person (A2P) SMS text messaging for authentication, account, association, community, transactional, and administrative communications. Marketing or promotional SMS is not part of the GovernHOA messaging program.
Authentication
Users may separately enable SMS as an authentication method. When enabled, GovernHOA may send one-time verification or security codes in response to sign-in or other account-security activity.
Operational Notifications
Operational SMS notification categories are controlled separately in the user portal. Providing a mobile telephone number as ordinary account contact information does not, by itself, enable recurring SMS notifications. Users affirmatively select the categories they want to receive during account setup or under Profile / Notification Settings.
Message Frequency and Charges
Message frequency varies based on authentication activity, association activity, account activity, transactions, events, and user-selected preferences. Message and data rates may apply.
Opting Out
Users may withdraw consent from applicable recurring SMS messaging by replying STOP. A final confirmation message may be sent after an opt-out request. Users may also change notification categories in the GovernHOA portal. SMS authentication is configured separately under account security settings.
Help
For SMS assistance, reply HELP to an applicable GovernHOA message or use the GovernHOA contact form.
Carrier Responsibility
Wireless carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by the applicable telecommunications provider and is not guaranteed.
Additional information is available on the SMS Messaging & Consent page and in the Privacy Policy.
7. Email and Electronic Communications
By using GovernHOA, you agree that certain notices, account communications, transaction records, disclosures, and association communications may be provided electronically. Preferences for optional communications may be managed through the application where controls are available.
8. Acceptable Use
You may not use GovernHOA to violate law, impersonate others, harass or defraud another person, transmit malicious software, bypass security controls, interfere with the Services, access unauthorized information, send unlawful unsolicited communications, or collect information through unauthorized automated means. We may restrict or suspend access reasonably believed to present a security, legal, or operational risk.
9. Third-Party Services
GovernHOA may rely on or integrate with third-party services, including payment processors, accounting platforms, telecommunications providers, email providers, hosting providers, identity services, and other technology providers. Use of certain third-party functionality may also be subject to terms established by those providers.
10. Availability and Changes
We work to maintain reliable availability of GovernHOA but do not guarantee that the Services will always be available, uninterrupted, or error-free. We may modify, update, replace, suspend, or discontinue features when reasonably necessary for operation, maintenance, security, legal compliance, or improvement.
11. Intellectual Property
GovernHOA, its software, interface, design, documentation, trademarks, logos, and proprietary materials are owned by Logical Host, LLC or its licensors and are protected by applicable intellectual property laws. These Terms do not grant ownership of GovernHOA or its underlying technology.
12. Suspension and Termination
Access may be suspended or terminated if an association or organization ends its use of GovernHOA, a user's authorization ends, these Terms are violated, use presents a security or legal risk, or suspension is required by law. Provisions that by their nature should survive termination will continue to apply.
13. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." LOGICAL HOST, LLC DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
GovernHOA does not warrant the accuracy of information supplied by associations, administrators, users, processors, or other third parties.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LOGICAL HOST, LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES ARISING FROM OR RELATED TO THE SERVICES. Some jurisdictions do not permit certain limitations, so portions of this section may not apply.
15. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Logical Host, LLC and its officers, employees, agents, and affiliates from claims, damages, losses, and expenses arising from unlawful use of the Services, violation of these Terms, or content submitted in violation of another person's rights.
16. Governing Law
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles, except where applicable law requires otherwise. Any dispute arising from these Terms or the Services will be subject to the jurisdiction of courts located in Ingham County, Michigan, except where applicable law provides otherwise.
17. Changes to These Terms
We may update these Terms periodically. The Last Updated date will be revised when changes are made. Material changes may also be communicated through GovernHOA or other appropriate means.
18. Severability and Entire Agreement
If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions remain effective to the fullest extent permitted by law. These Terms, the Privacy Policy, and any additional written terms applicable to a specific service or organization constitute the applicable agreement concerning use of the Services.
19. Contact
Questions concerning these Terms may be submitted through the GovernHOA contact form.
